Director Identification Number
22nd October 2021
From November 2021, directors will need to verify their identity as part of a new director identification requirement.
A DIN is a unique identifier for that particular director. A director is only required to hold one DIN, regardless of the number of directorships held.
The DIN is designed to prevent the use of false or fraudulent director identities and to assist in identifying illegal phoenix activities.
Who needs a DIN and by When?
All appointed directors and acting alternative directors of Australian companies, registered Australian bodies and foreign registered companies under the Corporations Act 2001 (Cth) are required to apply for and obtain a DIN. The requirement further applies to directors and acting alternative directors of corporations registered under Corporations (Aboriginal and Torres Strait Islander) Act 2006 (Cth).
The date by which a director must apply for a DIN is dependent on the date they became a director and whether your appointment was under the Corporations Act or otherwise. For Corporations Act appointments:
Date You Became a Director |
Date You Must Apply |
on or before 31 October 2021 |
by 30 November 2022 |
between 1 November 2021 and 4 April 2022 |
within 28 days of appointment |
from 5 April 2022 |
before appointment |
If a director fails to obtain a DIN by the required date, civil or criminal penalties may be imposed, or an infringement notice may be issued.
How to Apply for a DIN?
An application may be made for a DIN through myGovID from November 2021.
A director is required to apply for a DIN personally as personal information must be provided. An application will require the director’s tax file number, residential address as held by the ATO and identity verification documents.
Paper and phone applications are also available.
What if I fail to Obtain a DIN?
A failure to obtain a DIN within the timeframes may result in criminal penalties and civil penalties (currently $1.1 million).
